01Assess the contract and the forum
Start with the signed agreement, amendments and dispute-resolution clause. Identify the parties, governing law, court or arbitration provisions and any notice or escalation requirements. A Romanian project or counterparty does not by itself settle jurisdiction.
02Build the chronology and evidence
Preserve orders, acceptance records, invoices, payment evidence, notices and correspondence. Separate facts supported by documents from assumptions and disputed explanations. Quantify the claim and identify the evidence needed to establish breach, causation and loss.
03Acquisition and project disputes
SPA warranties, indemnities, deferred consideration, milestone payments and development obligations require careful reading of the claim mechanics. For EPC or project contracts, legal review should be coordinated with technical assessment of scope, delay, performance and acceptance.
04Choose a proportionate strategy
Compare negotiation, contractual escalation, proceedings and recovery prospects. Interim measures require their own legal and evidential assessment. Enforcement and the counterparty’s financial position should inform the strategy before significant costs are incurred.
