01Start with the investor and the investment
An initial assessment should map the investor, ultimate ownership, governance rights, target activities and proposed investment. A share acquisition, a new project and a change within an existing group may raise different questions. Investor nationality alone is not a sufficient basis for a clearance conclusion.
02Build a filing-ready transaction record
The working file brings together the ownership chart, transaction structure, investment value analysis, target activities, project locations and transaction documents. We identify information gaps, coordinate requests with the deal team and prepare the legal analysis needed to decide the next step.
03Connect clearance to the SPA
Approval risk belongs in the transaction timetable and the contract. The parties should allocate filing responsibility, cooperation duties, information access, conditions precedent, long-stop dates and the consequences of a conditional or unavailable approval. Signing and completion should be considered separately.
04Energy acquisitions require connected reviews
For solar, wind and BESS investments, the investment-screening workstream should be coordinated with land, permitting, grid and ANRE diligence. A sector authorisation is not a substitute for examining investment-screening requirements. We coordinate Romanian advice with the investor's lead counsel.
05Investment value and filing scope
We assess the investment value, any applicable aggregation rules and security or public-order considerations before advising on the filing route. A value threshold alone does not settle the assessment.
